Cause Partnership Agreement

1. Introduction

Cart4Cause ("we", "our", "us", or "Platform") is a community platform designed to help users earn cashback on their shopping, which they may subsequently choose to support. This Cause Partnership Agreement ("Agreement") governs the relationship between Cart4Cause LLP and the organisations ("Cause", "you", or "your") that apply to be listed as verified entities on our platform.

2. Who Can Apply

To be eligible for listing on the Cart4Cause platform, an organisation must meet the following criteria:

• Be a registered Trust, Society, or Section 8 Company under the applicable laws of India.
• Maintain a valid Indian bank account.
• Possess an active and operational payment gateway capable of receiving direct online donations.
• Operate exclusively for genuine charitable, social, or humanitarian purposes.

Individuals, informal groups, and unregistered organisations are strictly not eligible for listing on the Cart4Cause platform.

3. Application & Approval Process

Organisations wishing to partner with us must complete the application process:

• Applications must be submitted via the Cart4Cause platform (sign up here).
• Applicants are required to provide their organisation's legal name, registration number, a clear description of the cause, and functional payment gateway details.
• Cart4Cause reserves the absolute right to approve or reject any application at its sole discretion, without providing a reason.
• Approval for listing on the platform does not constitute an endorsement of the Cause by Cart4Cause.

4. Cause Responsibilities

By listing on our platform, the Cause agrees to and warrants the following:

• Provide accurate, truthful, and independently verifiable information during and after the application process.
• Promptly notify Cart4Cause of any changes to the organisation's legal registration status, bank details, or payment gateway functionality.
• Ensure that all funds received from users via the platform are utilised solely for the stated charitable purposes.
• Refrain from misrepresenting the organisation's activities, impact, legal status, or registration credentials.
• Maintain an active and fully functional payment gateway at all times to facilitate user donations.
• Respond promptly to any queries or requests for information from Cart4Cause within 14 days.

5. Cart4Cause's Role — Platform Only

It is imperative to understand the limits of our role:

• Cart4Cause operates strictly as a discovery and listing platform.
• We do not collect, hold, process, aggregate, or transfer any donation funds on behalf of any Cause.
• All donations are made directly by users to the Cause's own independent payment gateway.
• Cart4Cause is not a payment aggregator, trustee, broker, or custodian of donation funds.
• We make no guarantees or representations regarding the volume, frequency, or amount of donations a Cause may receive through the platform.
• Cart4Cause is not regulated as a charity, Non-Banking Financial Company (NBFC), or payment gateway under Indian law.

6. No Endorsement Clause

Listing a Cause on our platform is solely for the convenience of our users and is not an endorsement, certification, or guarantee of the Cause's efficacy or operations. Cart4Cause does not monitor or verify how the supported funds are ultimately utilised by the Cause. Users choose to support entirely at their own discretion and risk.

7. Removal & Suspension

Cart4Cause maintains the right to suspend or permanently remove a Cause from the platform immediately, and without prior notice, under circumstances including, but not limited to:

• The Cause is found to be engaging in fraudulent activities.
• The Cause remains inactive for a period exceeding 12 months.
• Legal complaints or significant grievances are filed against the Cause.
• Misrepresentation of facts or misuse of funds is discovered.
• The Cause's payment gateway becomes non-functional or inaccessible.

In the event of a Cause's removal, users actively supporting that Cause will be notified and provided the opportunity to select an alternative Cause.

8. Indemnification

The Cause agrees to indemnify, defend, and hold harmless Cart4Cause, its partners, employees, and agents from and against any and all claims, losses, liabilities, damages, or expenses (including legal fees) arising from or relating to the Cause's fundraising activities, misrepresentation, legal non-compliance, or the misuse of any supported funds.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Cart4Cause's total cumulative liability to any Cause for any claim arising out of or relating to this Agreement or the use of the platform is strictly limited to zero (₹0). This reflects the fact that Cart4Cause does not handle, receive, or process any donation funds on behalf of the Cause.

10. Governing Law and Jurisdiction

This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of India. Specifically, the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019 shall apply. Any legal actions or proceedings shall be subject to the exclusive jurisdiction of the competent courts located in Chennai, Tamil Nadu.

11. Changes to This Agreement

Cart4Cause reserves the right to modify or update this Cause Partnership Agreement at any time. We will provide listed Causes with at least 30 days' advance notice of any material changes via email or platform notification.
